The new way to review your own paper

You send out your MSA on your terms. It comes back marked up, and the counterparty has changed seventeen things. Each change needs a decision: accept, reject, or push back, and when you are not accepting a position, it is best to explain why you cannot. On a heavy mark up, that's dozens of calls and a lost evening, and until today the only way through it was manually.

Redline Review reads the markup against your standard positions, recommends a call on every change, and drafts the response. You review the recommendations instead of building each one from scratch. The judgement stays with you and you negotiate better.

Review only what changed

Redline Review is a negotiation tool. It reads the counterparty's markup starting from what you sent, instead of starting from a blank page.

Open the returned document and Wordsmith takes each change and tells you what it does. What they are asking for, why it matters, and what the risk in accepting it would be. A shortened payment term is a cash-flow ask. An uncapped indemnity is increasing your liability . You see the point behind every redline.

It starts from your position. Because it is your agreement, Wordsmith knows the terms you sent. It tells you what has been changed and which of these changes you can live with.

Recommendation, reason, reply

For each amendment, you get three things:

1. A recommendation. Accept, amend or reject.
2. The reason. Grounded in your playbook and the context and template you give it.
3. The reply. A response drafted in the comment thread itself, replying to the counterparty’s comment in your name, ready to send.

You decide on each one. Accept, amend, reject and/or comment, all from the review flow. A redline alone is a demand. With the comment attached, it is a negotiation and moves you closer to the end objective of agreeing the contract.

Respond without leaving the review
